SwissChain Advances Swiss Digital Finance Through Tokenised Participation Certificates

SwissChain Holding has issued its participation certificates (Bons de participation), a long-standing form of Swiss non-voting equity, as ledger-based securities under the Swiss DLT Act.

The move turns years of Swiss legislative groundwork into an operating model: a regulated bridge between traditional finance and digital assets.

Under the DLT Act, in force since 2021, the certificates remain legally what they have always been; only the register changes.

Ownership is documented on a distributed ledger, making administration and transfers more efficient and fully auditable.

Around that core, SwissChain coordinates specialised subsidiaries and regulated partners covering tokenisation infrastructure, compliance, institutional custody and market access, one framework instead of a chain of separate vendors, advisers and custodians.

The same discipline applies to the balance sheet.

The company’s Digital Assets Treasury may hold established digital assets such as Bitcoin and Ethereum alongside traditional cash reserves, with digital assets kept below half of net proceeds.

It is neither a fund nor a public investment product, but an internal diversification policy under Swiss accounting and governance standards.

Access is limited to eligible counterparties, KYC and AML checks run through regulated partners, and digital assets sit with institutional custodians.

The oversight layer includes Biba Homsy, a former FINMA official specialised in digital-asset regulation. SwissChain is a member of the Crypto Valley Association and a participant in the UN Global Compact.

A group subsidiary is also developing a single application designed to bring the group’s services together in one place, giving clients centralised digital access to tokenised securities and related services.

By treating digital assets as one component of a broader corporate structure rather than its entirety, SwissChain differs from models built on accumulating a single asset.

Its roadmap points toward regulated secondary-market access and controlled international expansion, inside a Swiss framework.
